End User License Agreement – Velle

Section A – Acceptance of This Agreement

By downloading, installing, accessing, or using Velle, you agree to be bound by this End User License Agreement and any additional policies referenced herein, including our privacy practices as made available within the app. If you do not agree, you must not use the Service. Your continued use of Velle after any update to this Agreement will also be treated as your acceptance of the updated terms.

Section B – User Content

You retain ownership of the photos, text, titles, and other materials you submit to Velle (“User Content”). We do not claim ownership of your User Content. However, you grant us a limited, temporary, worldwide, non-exclusive license to process, transmit, analyze, format, and display your User Content solely to provide the Service, including generating object snapshots, memory notes, timelines, and retro cards.

To the extent necessary to operate the Service, troubleshoot issues, prevent abuse, and fulfill your requests, this license may include the right to host or temporarily store content during processing. Except as described in this Agreement and our privacy disclosures, we do not use your User Content for unrelated purposes.

Section C – Generated Results Disclaimer

Velle uses automated tools to organize memory-related inputs and generate summaries, tags, timelines, and card layouts. These outputs are created for convenience, reflection, and informational presentation only. They may contain errors, omissions, simplifications, or stylistic interpretations.

You understand and agree that generated content is not guaranteed to be accurate, complete, historically precise, emotionally suitable, medically meaningful, or factually verified. Any reliance on generated results is at your own risk, and you remain responsible for reviewing outputs before saving, copying, sharing, or otherwise using them.

Section D – Description of the Service

Velle is a lightweight personal memory organization tool focused on old-item remembrance. The Service is designed to help users upload a single photo of an item, add a short recollection, and turn that input into a structured memory record with dates, people, places, tags, and a nostalgic card format. The main purpose is to help users preserve memories in a simple, personal archive that can be revisited over time.

The Service may include photo capture and upload, object snapshot generation, memory note creation, timeline sorting, collection grouping, card previewing, copying of generated text, regeneration of refined summaries, deletion of records, and the purchase of consumable coins to unlock enhanced card styles. Velle is not a marketplace, auction platform, valuation tool, authenticity checker, social network, therapy service, or community forum. It is intended for quiet, personal memory keeping rather than public interaction.

Some features may be available only in limited quantities or only after certain actions. For example, new users may receive a small number of complimentary premium card experiences, while coins may be used only for enhanced retro cards or collection covers. Basic record creation, timeline organization, and standard memory cards are intended to remain available without requiring payment.

Section E – Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, VELLE AND ITS PROVIDERS DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

We do not warrant that the Service will meet your expectations, that generated content will be error-free, or that records will always be available, uninterrupted, or secure from loss. Some jurisdictions do not allow certain warranty exclusions, so some of the above limitations may not apply to you.

Section F – User Responsibilities

You are responsible for the content you submit, the accuracy of information you provide, and the manner in which you use the Service. You should only upload photos and text that you are entitled to use, and you should avoid submitting material that infringes another person’s rights or violates applicable law.

You are also responsible for reviewing generated outputs before relying on them, sharing them, or saving them as part of your records. If you choose to use the Service for family memories or records involving other people, you are responsible for ensuring you have the necessary permissions or legal basis to do so.

Section G – Termination of Access

You may stop using Velle at any time. If you wish to discontinue the Service, you can cease accessing the app and may delete your records through available in-app tools, subject to any limitations of your device or operating system.

We may suspend, restrict, or terminate your access to the Service, in whole or in part, at any time and for any reason permitted by law, including if we believe you have violated this Agreement, engaged in harmful conduct, or created legal or security risks. Sections of this Agreement that by their nature should survive termination will remain in effect.

Section H – Changes to the Agreement

We may update or revise this Agreement from time to time to reflect changes in the Service, legal requirements, technical needs, or business practices. When we do so, we may post the updated version within the app or otherwise make it available to you.

Your continued use of Velle after an updated Agreement becomes effective means you accept the revised terms. If you do not agree to the changes, you should stop using the Service.

Section I – Limitation of Liability

To the fullest extent permitted by law, Velle, its owners, affiliates, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, data, goodwill, or business opportunities arising from or related to your use of the Service.

This limitation applies whether the claim is based on warranty, contract, tort, negligence, strict liability, or any other legal theory, even if we have been advised of the possibility of such damages. Where liability cannot be excluded under applicable law, it will be limited to the maximum extent permitted.

Section J – Prohibited Conduct

You agree not to use Velle for unlawful, fraudulent, deceptive, abusive, or harmful purposes. Prohibited conduct includes, without limitation: uploading or sharing content that infringes intellectual property or privacy rights; using the Service to harass, threaten, defame, or exploit others; attempting to reverse engineer, decompile, disassemble, or tamper with the app; using bots, scrapers, automated scripts, or other unauthorized tools; interfering with or disrupting the Service; and introducing malware, exploits, or other harmful code.

You also agree not to misuse the Service to falsely represent historical facts, create fraudulent records, facilitate illicit transactions, or use the app as a platform for spam, impersonation, or circumvention of security controls. We may investigate suspected violations and take appropriate action, including content removal, feature restriction, or account termination.

Section K – Indemnification

You agree to defend, indemnify, and hold harmless Velle, its affiliates, officers, directors, employees, contractors, and agents from and against any claims, demands, losses, liabilities, damages, judgments, costs, and expenses, including reasonable legal fees, arising out of or related to: your use of the Service; your User Content; your violation of this Agreement; your violation of any law or third-party right; or your misuse of generated content.

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of such claims at your expense.

Section L – Eligibility Requirements

You must be at least 17 years old to use Velle. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into a binding agreement.

If you are using Velle on behalf of another person or entity, you further represent that you are authorized to accept this Agreement on their behalf. If you do not have the legal capacity to agree to these terms, you may not use the Service.

Section M – Intellectual Property

As between you and Velle, we and our licensors retain all rights, title, and interest in and to the Service, including the app design, software, trademarks, logos, interface elements, text, workflows, and other proprietary materials, except for your User Content. No ownership rights are transferred to you by this Agreement.

Subject to your compliance with this Agreement, we grant you only the limited rights expressly stated herein. You may not use our intellectual property except as allowed by law or by our written permission. Any feedback or suggestions you provide may be used by us without restriction or obligation to you, unless prohibited by law.

Section N – Service Availability

The Service is provided “as available.” We do not guarantee that Velle will be uninterrupted, timely, secure, or free from errors, delays, or defects. Access may be affected by maintenance, updates, device compatibility, network conditions, third-party services, or events outside our control.

We may modify, suspend, limit, or discontinue any part of the Service at any time, with or without notice, to the extent permitted by law. We are not responsible for any resulting loss, inconvenience, or inability to access previously created content, subject to any non-waivable rights you may have under applicable law.

Section O – Permitted Use

Subject to your compliance with this Agreement, Velle grants you a personal, limited, non-exclusive, non-transferable, and revocable license to use the Service for your own non-commercial memory organization purposes. This license allows you to access the app and use its features as intended, but only in accordance with this Agreement and applicable law.

You may not sublicense, sell, rent, lease, distribute, or publicly exploit the Service or any part of it. All rights not expressly granted to you are reserved by Velle and its licensors.

Section P – In-App Purchases / Virtual Currency

Velle may offer consumable virtual currency in the form of coins, which are purchased through Apple in-app purchase mechanisms and used to unlock certain enhanced card styles or collection cover options. Coins are consumed when used and may be deducted according to the applicable in-app pricing or redemption logic shown at the time of use.

Coins have no cash value, do not constitute property, and are not redeemable, transferable, refundable, or exchangeable for money or other consideration, except where required by applicable law. All purchases are subject to Apple’s applicable terms and purchase policies. If your access to the Service is terminated or limited, unused coins may not be recoverable except as required by law.

Section Q – Governing Law

This Agreement and any dispute arising out of or relating to the Service will be governed by and interpreted in accordance with the applicable laws of the jurisdiction that applies to your use of the Service, without regard to conflict-of-law principles, except where such principles are mandatory.

Any rights or remedies that cannot be waived under applicable consumer protection or other mandatory laws remain unaffected by this clause.
